If innovation is motivated by competition Your implication is that competition has to be with external agents. It’s perfectly possible to compete with the status quo. The private sector has a profit motive at its core: make more money for shareholders. The public sector also has a profit motive: save more money and be more effective for tax-payers. They’re both examples of efficiency, two sides of the same coin.

From my experience public sector has little motivation for any kind of competition.

Same in Croatia, 100 Euros for a j.d.o.o. (simple limited liability company) vs cca. 4000 Euros for d.o.o. (limited liability company 3k for capital, 1k expenses). I still wouldn't recommend, since VAT is 25% and capital gains is 20% (which is ok). Bulgaria and Romania have better terms and are within EU too.

AFAIK, LLC in Bulgaria requires no capital, there's 50 euro tax for the opening; VAT is 20% and the capital gains are 10%.

I'm honestly considering opening a company in Bulgaria instead of Croatia. I guess I'll visit Sofia within next six months and check out what I need.

Apparently it's pretty safe from an audit standpoint if you pay yourself at least $118,500, the maximum amount that is taxable for Social Security. Of course, that means you just save the 2.9% tax for Medicare on any remaining income. Still, I totally agree that it's unethical.

My accountant put it this way: nobody gets audited for paying themselves more than zero salary. Reasonable salary comes into play if you get audited for something else.

So that's the opposite of what mine said, but: definitely I think you should listen to your accountant more carefully than HN comments.

Ha! "But foobar22 on the internets said it'd be okay if I claimed X as a deduction? Why am I being auditing?!"

There should be a global disclaimer when you sign up for an HN account that tells you to listen to your lawyer, your doctor, your accountant ...

Possibly stupid question for you. Why did you chose Atlas (ie US Incorporation), giving those micro-scale multinational issues, rather than incorporate in SA?

Our situation is quite complex but the tl;dr is: We were already incorporated in SA but we also needed to be incorporated in the USA if we wanted to keep serving our customers.

I'm incorporated in Canada and serve many US customers.

It's a SaaS and most customers don't even know or care that we are not in the US.

I guess it varies depending on the type of business you are in.

Yes, but if he had an LLC, the only difference would be the penguin part; the company would still get shut down or sold.

Exactly. In scenaro 1 people lose all their data, in scenario 2 they lose all their data and I lose my car and cool Zippo lighter.

Nope, nothing but a logo, a tiny server farm, and a long series of tweets. I spooked myself into starting the process with LegalZoom at some point, but then couldn't figure out how to transfer assets, and then I got real sleepy.

You get a tax ID, online, and use that to open a business bank account wherever your normal bank account is. Just saying. :)

The thing I don't know how to do is transfer assets. Presumably I have to sign some contract with myself to make the servers and code belong to Pinboard LLC.
